Terms of Service

These Terms of Service ("Terms") are a legal agreement between you (an individual or the company you represent, "you" or "Customer") and BlueChip Infotech Ltd, operating as BlueChipStack ("BlueChipStack", "we", "us"), a company with its principal place of business in Mississauga, Ontario, Canada. By creating an account or otherwise using our CRM/ERP platform, mobile app, and related services (the "Service"), you agree to be bound by these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization.

1. Accounts and Eligibility

You must provide accurate, current information when creating an account and keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at support@bluechipstack.com if you suspect unauthorized access. Company administrators are responsible for the team members they invite and for that team's compliance with these Terms.

2. Subscriptions, Trials, and Billing

Some plans are offered free of charge (including a free trial period on paid plans, as described at checkout); others are paid subscriptions billed on a recurring basis through our payment processor, Stripe. By subscribing to a paid plan you authorize us to charge your payment method for the applicable fees, including recurring renewals, until you cancel. Fees are exclusive of applicable taxes unless stated otherwise. Except where required by law, fees already paid are non-refundable. You may cancel a subscription at any time from your account settings or by contacting support; cancellation takes effect at the end of the current billing period, and downgrading or cancelling may reduce or remove access to data, seats, or features tied to your prior plan.

3. Your Data and Content

You retain all rights to the data, files, images, voice messages, and other content you or your team upload to the Service ("Customer Data"). You grant BlueChipStack a limited license to host, process, and transmit Customer Data solely to provide and support the Service. You are responsible for having the necessary rights and consents to upload Customer Data, including any personal information about your own customers, employees, or contacts that you store in the platform.

4. Acceptable Use

You agree not to: (a) use the Service for any unlawful, fraudulent, or harmful purpose; (b) upload malicious code, or content that infringes another party's intellectual property or privacy rights; (c) attempt to gain unauthorized access to the Service, other accounts, or our infrastructure; (d) reverse-engineer, resell, or white-label the Service without our written consent; or (e) use the Service to send unsolicited bulk messages, including via the WhatsApp/email notification features. We may suspend or terminate accounts that violate this section.

5. Third-Party Services

The Service integrates with third-party providers to deliver certain features — for example, Stripe for payment processing, the WhatsApp Business (Meta) Cloud API for optional notification messages, and standard email delivery infrastructure for transactional email. Your use of those features is also subject to the applicable third party's own terms and privacy practices, which we encourage you to review.

6. Intellectual Property

BlueChipStack and its licensors retain all right, title, and interest in and to the Service, including its software, design, and branding. Except for the limited right to access and use the Service for your internal business purposes during an active subscription, no rights are granted to you by implication or otherwise.

7. Service Availability and Changes

We aim to keep the Service available and reliable but do not guarantee uninterrupted, error-free, or continuous operation. We may modify, suspend, or discontinue features of the Service from time to time, and will make reasonable efforts to notify Customers of material changes.

8. Suspension and Termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay applicable fees, or if required to comply with law. You may stop using the Service and close your account at any time. On termination, your right to access the Service ends; we will retain or delete Customer Data in accordance with our Privacy Policy and applicable law.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by applicable law.

10. Limitation of Liability

To the fullest extent permitted by law, BlueChipStack and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, data, or other intangible losses, arising from or relating to your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold BlueChipStack harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms or applicable law, or from Customer Data you upload.

12. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Mississauga, Ontario, Canada.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date, and for material changes we will make reasonable efforts to notify active Customers. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
